Terms of Service
Last Updated: October 31, 2026
These Terms of Service (“Terms”) govern access to and use of the NodeAxe website and products and services provided by NodeAxe Inc., a New York corporation (“NodeAxe,” “we,” “us,” or “our”).
By accessing our website, purchasing a product, or using our services, you agree to these Terms.
Eligibility and Lawful Use
You may use the NodeAxe website and products only for lawful purposes. You are responsible for ensuring that your activities comply with laws and regulations applicable to you.
You may not misuse our website, interfere with its security or operation, attempt unauthorized access to systems or accounts, or use NodeAxe services for unlawful purposes.
Products and Orders
NodeAxe may offer Bitcoin mining hardware, nodes, kits, components, accessories, 3D-printed products, software-related resources, infrastructure, and other products and services.
Orders are subject to acceptance and availability.
NodeAxe may cancel or refuse an order where reasonably necessary, including cases involving pricing or listing errors, product unavailability, suspected fraud, payment problems, or inability to fulfill the order.
If NodeAxe cancels an order after collecting payment, the applicable amount will be refunded.
Pricing and Payment
Prices may change without notice. Applicable taxes, shipping charges, and other charges will be presented during checkout where required.
Products are currently coming soon and online ordering is closed. Free interest-list signups do not place an order, reserve stock or create a paid subscription.
Planned payment methods are Bitcoin on-chain, Bitcoin over the Lightning Network, and credit cards. Availability is determined by the options shown at checkout or on an official invoice. These payment options are not yet active. Third-party card processing is subject to the identified provider’s applicable terms.
For a Bitcoin invoice, follow the exact amount, payment network and expiration shown. Do not send unsupported coins or tokens, or pay an expired invoice without contacting Support. Network fees, confirmation requirements, and any refund valuation or fee terms will be disclosed before purchase. Payment detection does not by itself guarantee order acceptance or shipment.
Blockchain payments cannot be unilaterally reversed. This does not remove applicable cancellation, refund, warranty or consumer rights. Approved refunds are handled under the Refund & Returns Policy.
Shipping
Physical-product shipping is governed by our Shipping Policy.
Processing and delivery times are estimates unless expressly stated otherwise.
Returns and Refunds
Returns, cancellations, exchanges, and refunds are governed by our Refund & Returns Policy.
Hardware Warranty
Unless expressly stated otherwise, eligible NodeAxe hardware is covered by our 90-Day Limited Hardware Warranty as described in the Warranty Policy.
Hardware supplied, installed, maintained, or supported under a commercial deployment, service agreement, build-out, managed solution, custom project, or other separate written agreement may have different warranty and support terms.
Where a separate written agreement applies, that agreement controls to the extent its terms differ from these Terms or the general Warranty Policy.
Bitcoin Mining
Bitcoin mining is probabilistic and depends upon network conditions and other factors outside NodeAxe’s control.
NodeAxe does not guarantee mining profitability, Bitcoin earnings, block discovery, mining rewards, return on investment, or future hardware performance.
DIY Products and Modifications
Certain products may be intended for assembly, experimentation, modification, or educational use.
Customers are responsible for appropriate installation, power, cooling, ventilation, tools, and safety practices.
Damage resulting from improper assembly, power, cooling, soldering, modification, misuse, or operation outside documented specifications may not be covered by warranty.
Software and Open-Source Technology
NodeAxe products may incorporate or interact with open-source software, firmware, protocols, and hardware.
Open-source components remain governed by their applicable licenses. Nothing in these Terms restricts rights granted under an applicable open-source license.
NodeAxe trademarks, branding, original website content, photographs, documentation, designs, and other proprietary materials remain the property of NodeAxe Inc. or their respective rights holders unless otherwise licensed.
Third-Party Services
NodeAxe products may interact with mining pools, wallets, operating systems, APIs, repositories, Bitcoin software, payment systems, networks, and other third-party services.
NodeAxe does not control these third parties and cannot guarantee their availability, security, performance, policies, or future compatibility.
NodeAxe Labs
Projects identified as Labs, R&D, experimental, prototype, beta, or in development may change substantially or never become commercial products.
Descriptions of development projects are not commitments regarding specifications, features, pricing, availability, or release dates.
Educational Information
NodeAxe educational content is provided for informational and educational purposes and does not constitute financial, investment, tax, accounting, or legal advice.
Security and Self-Custody
Users are responsible for securing their devices, accounts, credentials, wallets, backups, private keys, and seed phrases.
NodeAxe does not assume custody of a user’s Bitcoin merely because NodeAxe hardware or software-related resources are used to interact with the Bitcoin network.
Intellectual Property
The NodeAxe name, logos, original graphics, photographs, website content, documentation, and other proprietary materials may not be commercially reproduced or exploited without authorization except where permitted by law or applicable license.
Third-party and open-source materials retain their respective ownership and licensing terms.
Disclaimer of Warranties
Except for warranties expressly provided by NodeAxe or rights that cannot legally be excluded, the website and informational materials are provided on an “as is” and “as available” basis to the extent permitted by applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law, NodeAxe Inc. will not be liable for indirect, incidental, special, consequential, or similar damages arising from use of our website, products, software-related resources, or services, including loss of mining revenue, digital assets, data, profits, or business opportunities.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
Separate Commercial Agreements
Commercial installations, merchant deployments, infrastructure build-outs, consulting engagements, managed systems, custom development, maintenance arrangements, and other professional services may be governed by separate proposals, statements of work, service agreements, or other written contracts.
Where such an agreement applies, the separate written agreement controls with respect to the subject matter it covers if its provisions conflict with these general Terms.
Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Changes
NodeAxe may modify these Terms as our business and services evolve. Revised Terms will be posted with an updated revision date.
